2.5.6 .mkv to avi (MPEG-4 ASP+Resisze, AC3) won't play in DivX Plus Player 8.8.2

The subject says it all. With the same file, if I convert MPEG-4 AVC+Resize, AAC, as .mp4, I can play in DivX Plus Player and am able to convert to Xvid format via DivX Plus Converter.

Anyone know what I may be doing wrong?

What codec is used for video and for audio in mkv?
What codec have you selected in avidemux 2.5.6
Your OS? 32/64-bit?
Please explain what steps your taking, from source file to destination file?

As I understand it: only divx input, no divx output.
